Disclaimer and Terms and Conditions

I hereby declare that the details furnished are true and correct to the best of my knowledge and belief and I undertake to update any changes in my information immediately. In case any of the information hereby furnished is found to be false, untrue or misleading, I shall be personally held liable and responsible for any consequences arising thereof.


I hereby unconditionally and irrevocably agree to be bound by and comply with the Terms and Conditions in connection with eServices.


My use of the eServices will signify my consent and agreement to be bound by the Terms and Conditions of eServices as the same exist at the time of such use.


In the event I designate/authorize the Participant to use the eIPO Service (one of the service offered under eServices) on my behalf, and subject to acceptance of such authorization by the Participant, use of the eIPO Service in such manner thereafter shall signify that the Participant shall also be irrevocably and unconditionally bound by these Terms and Conditions to that extent.


I hereby further declare that I shall be solely responsible and/or liable for the nature of instructions issued by me to the Participant in relation to use of the eIPO Services on my behalf, as well as for the direct consequences of acting upon such instructions, whereas liability arising in the case of any breach of the instructions committed by the Participant, shall solely be attributable to the Participant and in no way shall the Central Depository Company of Pakistan Limited (hereinafter referred to as “CDC” which term shall mean to include the corporate entity, board of directors, officers, employees, assigns and agents of CDC) be held responsible.


I hereby further undertake to ensure that up to date details/information are intimated concerning the designation of the authorized Participant to use the eServices.



eServices by the Central Depository Company of Pakistan Limited (hereinafter referred to as “CDC” which term shall mean to include the corporate entity, board of directors, officers, employees, assigns and agents of CDC) offers to individuals or corporate persons, whether or not such persons access the eServices directly or through a Participant, (collectively as “Accountholder” for the purposes of this Disclaimer) access to information, reports, statements through eIPO services, Centralized Cash Dividend Register services or any other services, as may be introduced by CDC from time to time (each and collectively “eServices”).


CDC makes no representation or warranty for any eService (or any part thereof) including all applications, data, content and services available on or through the website, including all implied warranties or conditions of title, non-infringement, merchantability, or fitness for a particular purpose (whether or not CDC or its officers or employees know, or have reason to know, or have been advised of or are otherwise in fact aware of any such purpose) in all cases, and the Accountholder hereby unconditionally agrees that they shall make use of this website for the purposes of eServices only subject to all hazards and circumstances as exist with the use of such services and their networks including, but not limited to, delays in uploading of data/information.


CDC and its officers and/or employees make no representations or warranties about the suitability, reliability, authenticity, availability, timeliness or accuracy of the website, including the applications, data, content and services available on or through the website and, to the maximum extent permitted by applicable law, the website, and all such applications, data, content and services, are provided on an "as is" and "as available" basis without warranty of any kind, express or implied. Any reliance placed on such information is, therefore, strictly at the user's own risk.


CDC shall not be held liable for any improper or incorrect use of eService by the Accountholder and although the service provided is intended for Accountholder, CDC assumes no responsibility for any third party's use of information obtained from and or/ unauthorised dissemination or disclosure of any information.


CDC shall not be liable to any Accountholder for providing and making available website, eServices and/or for failure or delay in the provision of such services to Accountholder. Accountholder shall be deemed to have indemnified CDC from and against any losses, damages, costs and expenses incurred or suffered by them as a consequence of use of website, eServices.


Additionally, CDC shall not be held responsible for and does not undertake liability for any damages or injury, including but not limited to those caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction and/ or unauthorized access to, alteration of, or use of eServices by Account Holder.


Accountholder hereby warrants and agrees that their access of website via the internet/web by use of a User-ID login, is using an advanced electronic signature and upon issuance of such User-ID login to Accountholder, they hereby waive any right to raise any objection to the compliance of the User-ID login with the criteria of an advance electronic signature.


Accountholder shall by their conduct of accessing agrees to all the terms and conditions and terms of use as shall appear on the website at from time to time (these “Terms and Conditions”) which shall be deemed to have been read and agreed to by the Accountholder before using or availing such services.


CDC shall in no way be held responsible for ensuring compliance by the Participant of instructions issued to it by the Sub-Account Holder while using the eIPO Service on the said Sub-Account Holder’s behalf. Any breach of the same shall be solely attributable to the Participant and the Sub-Account Holder may seek appropriate remedy against the Participant in this regard. CDC’s sole obligations are limited to the running and management of the eServices as envisaged in these Terms and Conditions and the eIPO Disclaimer. Any sharing of User-ID login by the investor with any individual/Participant shall be at the investor’s sole risk and CDC shall not be held liable in any way whatsoever for any misuse of the same.


The Sub-Account Holder shall be solely responsible for appointing the Participant to act on its behalf through the correct mechanism available on the eServices portal and shall do so with the full understanding that such appointment shall constitute a contractual relationship of agency and principal wherein the Participant (agent) shall have the power to act on behalf of the investor (principal) so as to bind the Sub-Account Holder. CDC shall in no way be held responsible/liable for any breach of the same or be deemed to be a party of the same.


  1. (a)   “eServices” means the electronic services provided by CDC to the Accountholder as per the Terms and Conditions for use of such services as prescribed by the CDC from time to time.


  2. (b)  “Terms and Conditions” means these terms and conditions for eServices and any other terms and conditions modifying or substituting all or any of these terms and conditions.


  3. (c)  “Website” means the website made available by CDC to Accountholder for the purposes of eServices and accessible through the internet via

Disclosure of Personal Information: The Accountholder agrees that CDC may hold and process Personal Information on computer or otherwise in connection with eServices as well as for statistical analysis. The Accountholder also agrees that CDC may disclose Personal Information, and such other disclosures as may be reasonably necessary for compliance with any laws, rules or regulations for the time being in force.


3. Proprietary Rights: The Accountholder acknowledges that eService is the legal property of CDC. The permission given by CDC to access eService portal will not convey any proprietary or ownership rights in it to any party. The Accountholder shall not attempt to modify, translate, disassemble, decompile or reverse engineer eService portal.


4. Safeguards: The Accountholder shall keep the user ID and/or password for eService portal safe and shall not disclose or let any unauthorized person have access to such user ID and/or password or leave them unattended at any time. The Accountholder shall be fully responsible for the use of user ID and/or password by any person, and any activity performed upon the use of such user ID and/or password shall be binding on the Accountholder.


5. Payment of Fees and Charges: The Accountholder agrees to pay to CDC the fees and charges as may prescribed by CDC from time to time in respect of eServices.


6. Change of Terms and Conditions: CDC has absolute discretion to amend or supplement any of these Terms and Conditions at any time. CDC may introduce new services within eServices portal from time to time. The existence and availability of the new services will be notified to the Accountholder as and when they become available, either through web updates or by email and/or through courier/registered post or any other suitable mechanism as deemed appropriate by CDC. By using such new services, the Accountholder agrees to be bound by the revised Terms and Conditions as may be applicable.


7. Non-Transferability: The right of use of eServices is not transferable by the Accountholder under any circumstances and shall be used by the registered user only.


8. Waiver: CDC’s failure to exercise or delay in exercising any right, power or privilege under these Terms and Conditions shall not operate as a waiver; nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof.


9. Severability: The invalidity or unenforceability of any provisions of these Terms and Conditions shall not affect the validity or enforceability of any other provision of these Terms and Conditions, which shall remain in full force and effect.


10. Force Majeure: CDC shall not be liable for any failure of or delay in the performance of these Terms and Conditions for the period that such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes or labor disputes, embargoes, government orders or any other force majeure event.


11. Governing Law: These Terms and Conditions and/or the use of the services provided through eService shall be governed by the laws of Pakistan. The Accountholder and CDC agree to submit to the exclusive jurisdiction of the Courts of Karachi as regards any claims or matters arising under these Terms and Conditions.
